Terms and Conditions
Terms governing your subscription to and use of AuditDesk practice management software.
These Terms and Conditions ("Terms") govern your subscription to and use of AuditDesk, a practice management platform operated by Yuvaasoft Technologies Pvt. Ltd. ("Yuvaasoft", "we", "us", "our"), a company incorporated under the Companies Act 2013, India.
By subscribing to or using AuditDesk, you ("Subscriber", "you") agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Definitions

| Subscriber | The CA firm or professional who holds the AuditDesk subscription account. |
| Staff User | An employee or team member added by the Subscriber to the account. |
| Client User | An end client of the Subscriber who accesses the client login portal. |
| Subscription | The paid plan (Standard, Enterprise, or Custom) granting access to the Platform. |
| Content | Documents, data, and information uploaded or created by the Subscriber on the Platform. |
2. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of your CA firm or professional practice to subscribe to AuditDesk. By subscribing, you represent that you meet these requirements.
3. Subscription and Payment
3.1 Plans
AuditDesk is offered under Standard and Enterprise plans, with custom arrangements available for large firms. Plan details and pricing are displayed on the Pricing page and are subject to change with advance notice.
3.2 Billing
Subscriptions are billed monthly or annually as chosen at sign-up. All amounts are in Indian Rupees and are exclusive of applicable GST unless stated otherwise.
3.3 Payment Method
Payment is made by direct bank transfer to Yuvaasoft Technologies Pvt. Ltd. We do not store credit card or debit card details on our systems.
3.4 No Auto-Renewal
Subscriptions do not auto-renew. You will receive a renewal reminder before your subscription expires. Renewal requires your explicit action and direct payment. Access is maintained through the end of the current paid period regardless of whether you renew.
3.5 Late Payment and Suspension
Access is suspended if payment is not received within 7 days of the subscription expiry date. Data is retained for 30 days post-suspension to allow reinstatement. After 30 days without payment or communication, you will receive written notice before any action is taken on your data.
3.6 Refunds
We do not offer pro-rata refunds for unused subscription periods. If a technical failure attributable solely to Yuvaasoft prevents platform access for more than 48 consecutive hours, we will credit the equivalent days to your next billing cycle.
4. Add-Ons
Additional client login slots and additional document storage can be added to any plan at the rates displayed on the Pricing page. Add-on pricing is approximate and indicative. Confirm current rates with us before purchasing. Add-ons activate from the next billing cycle after confirmation and payment.
5. Acceptable Use
5.1 Permitted Use
You agree to use AuditDesk solely for lawful practice management purposes related to your CA or auditing practice in accordance with all applicable Indian laws and professional regulations.
5.2 Prohibited Actions
You agree not to:
- • Upload unlawful, defamatory, or malicious content to the platform
- • Attempt to gain unauthorised access to other subscriber accounts or the underlying infrastructure
- • Reverse-engineer, decompile, or disassemble any part of the platform
- • Resell or sublicense access to the platform without prior written consent from Yuvaasoft
- • Use the platform to process personal data beyond the scope of your declared practice
- • Introduce malware, viruses, or any code designed to harm the platform or other users
5.3 Responsibility for Users
You are fully responsible for the actions of all Staff Users and Client Users operating under your account. Any breach of these Terms by a user under your account is treated as a breach by you.
6. User Accounts and Security
- • You are responsible for maintaining the confidentiality of your admin credentials.
- • You must notify us immediately at info@gofauditdesk.com if you suspect unauthorised access to your account.
- • We are not liable for losses arising from unauthorised account access caused by your failure to safeguard credentials or your failure to notify us promptly.
7. Data Ownership
- • All Content uploaded to the platform remains your property. Yuvaasoft claims no ownership over your client data or documents.
- • We process your Content solely to deliver the platform services as described in our Privacy Policy.
- • On termination of your subscription for any reason, we will provide a full data export within 14 days of your written request. We will not delete your data without 30 days advance written notice.
8. Intellectual Property
- • The AuditDesk platform, including its design, source code, features, and branding, is owned by Yuvaasoft Technologies Pvt. Ltd. All rights reserved.
- • No part of the platform may be copied, reproduced, modified, or distributed without prior written permission from Yuvaasoft.
- • You grant Yuvaasoft a limited, non-exclusive, royalty-free licence to process your Content solely for the purpose of delivering the platform services to you.
9. Service Availability
- • We target 99.5% monthly uptime for the platform. Planned maintenance will be announced by email at least 24 hours in advance.
- • We are not liable for downtime caused by events beyond our reasonable control, including cloud infrastructure failures, internet service provider outages, or force majeure events.
- • Unplanned outages will be communicated via email and platform status updates.
10. Confidentiality
- • Both parties agree to keep confidential any non-public information disclosed in connection with the subscription, including pricing arrangements, technical configurations, and business information.
- • Yuvaasoft staff access to subscriber data is limited to what is strictly necessary for support and operations. All staff are bound by written confidentiality obligations.
- • CA client documents stored on AuditDesk are subject to professional confidentiality obligations. Yuvaasoft does not access, read, or disclose client documents except where required by a court order or applicable Indian law.
11. Limitation of Liability
- • To the maximum extent permitted by applicable law, Yuvaasoft's total liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the three months immediately preceding the event giving rise to the claim.
- • Yuvaasoft is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of business opportunity, even if advised of the possibility of such damages.
- • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded or limited by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Yuvaasoft, its directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any claim by a third party arising from Content you uploaded to the platform.
13. Termination
- • You may cancel your subscription at any time. Cancellation takes effect at the end of your current paid billing period.
- • Yuvaasoft may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or fail to pay after the 7-day grace period following expiry.
- • On termination for any reason, your right to access the platform ceases. Your data export rights remain as described in Section 7. We will not delete your data without the notice period specified in Section 7.
14. Amendments
We reserve the right to update these Terms at any time. Material changes will be communicated by email at least 14 days before they take effect. The updated Terms will be published on the AuditDesk website with a revised Effective Date. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
- • These Terms are governed by the laws of India.
- • Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
- • If negotiation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Coimbatore, Tamil Nadu, India.
- • For EU-based users, mandatory consumer protection rights under applicable EU law are not affected or overridden by this clause.
16. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Yuvaasoft regarding your use of AuditDesk. They supersede all prior agreements, representations, or understandings relating to the same subject matter. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
